EMPLOYMENT AGREEMENT

THIS AGREEMENT is made and effective  between 247 Tutoring Pioneers, Corp. and the undersigned, adult, individual (“Employee”). WHEREAS, 247 Tutoring Pioneers provides instruction, educational services, or tutoring services (“Tutoring”) to students of all ages (“Students”) as individuals or as members of families or other groups working with (“Clients”) through qualified employees; and 247 Tutoring Pioneers wishes to employ Employee on a part-time, as-needed basis to provide Tutoring to clients, and Employee wishes to render Tutoring services subject to the terms and conditions of this Agreement; 247 Tutoring Pioneers and Employee wish to set forth their mutual understanding of the provisions, terms, and conditions governing their respective rights and obligations as an employee and an employer. NOW, THEREFORE, in consideration of the foregoing, the mutual covenants and promises herein below contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by 247 Tutoring Pioneers and the Employee, intending to be legally bound hereby, covenant and agree as follows: 1. Employment 247 Tutoring Pioneers hereby employs the Employee, and the Employee hereby accepts such employment on an at will basis to, so long as qualified, provide Tutoring to 247 Tutoring Pioneers’ Clients for and on behalf of 247 Tutoring Pioneers. 2. Term The Employee’s term of employment hereunder shall commence as of the effective date first set forth above, and shall continue thereafter until terminated. Employment with 247 Tutoring Pioneers shall not commence until all of the prerequisites stated below are met by the Employee to the satisfaction of 247 Tutoring Pioneers in its sole and absolute discretion. 3. Termination This Agreement shall be deemed an at will Employment Agreement, and Employee’s employment may be terminated by 247 Tutoring Pioneers for any reason or no reason at all, without advance notice. Upon termination of this Agreement by 247 Tutoring Pioneers, 247 Tutoring Pioneers’ obligation to pay compensation hereunder to or for the benefit of the Employee shall cease immediately, except that 247 Tutoring Pioneers shall be obligated to pay compensation accruing to the Employee as of the date of such termination. 4. Employee Prerequisites to Employment Prior to employment with 247 Tutoring Pioneers, Employee shall provide resume, information on his or her educational background, work experience, and references. Employee shall provide to 247 Tutoring Pioneers information necessary to conduct 247 Tutoring Pioneers’ selected criminal background check in advance of commencing employment with 247 Tutoring Pioneers, and prior to assignment of 247 Tutoring Pioneers Clients. The satisfaction of these requisites and their appropriateness for employment shall be in the sole and absolute discretion of 247 Tutoring Pioneers. Employee expressly agrees that 247 Tutoring Pioneers may provide prospective Clients with information about the Employee, including, but not limited to, the Employee’s resume, work experience, and educational background. 5. Compensation 247 Tutoring Pioneers shall pay Employee a per hour rate of salary for services rendered pursuant to this Agreement. The hourly rate will be offered to the Employee prior to engaging in any Tutoring work with any 247 Tutoring Pioneers Clients. Hourly rates will be confirmed by 247 Tutoring Pioneers. All compensation paid to Employee shall be subject to any and all applicable federal, state, and other governmentally required payroll withholdings and deductions. Under no circumstances will Employee accept payment from any Client of 247 Tutoring Pioneers on his or her own behalf or on behalf of 247 Tutoring Pioneers for any Tutoring (or any other payment), unless specifically authorized by 247 Tutoring Pioneers office personnel, in writing. 6. Expenses Employee shall be responsible for any and all travel or other discretionary related expenses necessary to provide Tutoring. Employee can, however, apply for expense reimbursement for items such as books or other educational materials needed by Clients. Any requests for a reimbursable expense must be made prior to incurring the reimbursement for approval by 247 Tutoring Pioneers in its sole and absolute discretion, and no reimbursement shall be paid unless this prior approval is obtained. Employee, as a part-time employee, is not eligible to participate in any of 247 Tutoring Pioneers’ benefit programs, including any and all retirement plans or insurances. Part-time employment status under this Agreement does not entitle Employee to any special consideration regarding potential permanent or full-time employment with 247 Tutoring Pioneers. 7. Duties The Employee shall devote sufficient time, attention and energy as reasonably necessary for him or her to perform the duties of Tutoring under this Agreement. Employee’s nonexhaustive duties and obligations include the following: (a) Employee is required to contact a new Client as soon as possible following the acceptance of an assignment by 247 Tutoring Pioneers; (b) Employee shall plan and implement the appropriate course of study for the assigned Student or Students, based on the Student’s or Students’ subject(s) and needs, including a written plan detailing the methods and/or lesson plans for use in the Tutoring; (c) Employee shall dress in an appropriate manner during the Tutoring sessions, and shall be on time for any and all arranged Tutoring schedules. Employee shall also act in an appropriate manner; (d) Employee shall make every effort to accommodate Client(s) in scheduling Tutoring sessions; (e) Employee agrees to maintain and submit an attendance sheet to 247 Tutoring Pioneers each month for each Student, and a summary of the Tutoring services provided for each Client should be reported through 247 Tutoring Pioneers website. Each attendance sheet entry must include the date of the Tutoring, the location of the Tutoring, the attendees, in addition to starting and ending time of Tutoring, and the subject of the Tutoring activities. Employee attendance sheets, provided by 247 Tutoring Pioneers, and online session reports will be processed through 247 Tutoring Pioneers’ payroll twice each month (typically the fifteenth (15th) and the twenty-fifth (25th) of each month). All payroll and salary shall be paid in the month subsequent to the month in which the provided services are verified, approved and confirmed by 247 Tutoring Pioneers. No compensation will be paid nor will attendance sheets and payroll be processed for any Employee whose attendance sheets do not match the requisites herein, or which are missing or absent information. On each attendance sheet, the Employee will attest that they have provided the Tutoring in accord with the 247 Tutoring Pioneers Tutoring Policies, a copy of which is attached hereto. 8. Confidential Information Employee will come into close contact with confidential information of 247 Tutoring Pioneers and its Clients not readily available to the public. Employee agrees to keep in the strictest confidence all confidential information of 247 Tutoring Pioneers including, without limitation, the terms and conditions of all engagements to provide Tutoring services, or information about any 247 Tutoring Pioneers Clients (including, but not limited to, their names, ages, addresses, or other personal information or information regarding Students’ education or educational needs), and shall not disclose or divulge any other confidential information which 247 Tutoring Pioneers may impart upon the Employee to anyone else at any time during the term of this Agreement, and thereafter Confidential information shall not include information that is or becomes generally known by the public, other than through violations of this provision by the Employee. 9. Non-Competition As consideration for this Agreement and all of the rights and privileges afforded by this Agreement, and so long as this Agreement remains in effect for two (2) year after termination of this Agreement, Employee agrees and warrants for good and valuable consideration, that Employee shall not, either directly or through another employer or contractor, provide Tutoring for any Client or Student of 247 Tutoring Pioneers introduced to the Tutor, or made aware of as a result of employment with 247 Tutoring Pioneers, voluntarily or for a fee. “Client” shall include all children of a family and other members of its household, or all members of a group working with 247 Tutoring Pioneers. Employee agrees that any violation of this provision shall constitute immediate and irreparable harm for which money damages cannot fully compensate, and shall entitle 247 Tutoring Pioneers to injunctive relief (special or preliminary), without the requirement of posting bond, to cease the violative conduct, and restrain Employee from further violation. Employee agrees to indemnify and hold harmless 247 Tutoring Pioneers for any damages, loss, cost or liability (including legal fees and the cost of enforcing this provision) arising out of or resulting from a violation of this provision, in addition to any other rights, remedies, and damages 247 Tutoring Pioneers may have as a matter of law. 10. Indemnity And Hold Harmless Clause Employee agrees to indemnify and hold harmless 247 Tutoring Pioneers , its subsidiaries, affiliates, and their directors, officers, employees and agents, from and against any and all losses, expenses, costs, liabilities and damages (including any legal fee and expenses), any and all injuries, whether direct, consequential or incidental in nature, which result from, are connected with or arise out of the performance by Employee of the work required under this Agreement, including any act by Employee inconsistent with Employee’s status as an Independent Employee. Employee understands that 247 Tutoring Pioneers is a tutor-student matching service. Accordingly, 247 Tutoring Pioneers makes no representations to Employee about the suitability, character or background of any 247 Tutoring Pioneers students, nor does 247 Tutoring Pioneers perform any type of background check of students. It is Employee’s sole duty to exercise his own judgment, protocols and/or standards when considering whether to engage in tutoring services with each student or client referred to Employee by 247 Tutoring Pioneers . Employee is never obligated by 247 Tutoring Pioneers to pursue any tutoring opportunity. 11. Site Content Employee acknowledges that all site content submitted by Employee will be the property of 247 Tutoring Pioneers and may be distributed by 247 Tutoring Pioneers at the company’s sole discretion. Such content includes, but is not limited to, articles, testimonials, reviews, video submissions, and blog entries (“Site Content”). 12. Severability If any term, provision, covenant or condition of this Agreement or part thereof, or the application thereof to any person, place or circumstance, shall be held to be invalid, unenforceable or void, the remainder of this Agreement and such term, provision, covenant, or condition shall remain in full force and effect, and any such invalid, unenforceable or void term, provision, covenant or condition shall be deemed, without further action on the part of the parties hereto, modified, amended and limited to the extent necessary to render the same and the remainder of this Agreement valid, enforceable and lawful. 13. 247 Tutoring Pioneers Employee Manual Employee agrees strictly to abide by all of 247 Tutoring Pioneers’ policies that may be in place from time to time during Employee’s employment (“Employee Manual”). A copy of the 247 Tutoring Pioneers Employee Manual is attached to this Agreement. 247 Tutoring Pioneers shall provide Employee with any changes to its policies as those changes occur. Any violation of or non-conformity with 247 Tutoring Pioneers’ Policies shall result in the immediate termination of this Agreement without notice. 14. General Provisions This writing contains the complete and full agreement and understanding of the Parties with respect to the subject matter set forth herein or necessarily implied hereby and no promises, covenants, agreements or representations other than those expressly herein set forth have been made or relied upon by either party. This Agreement may not be assigned by the Employee without 247 Tutoring Pioneers’ prior written consent. The language in all parts of this Agreement must be construed, in all cases, according to its fair meaning and not for or against any Party. In the event that any provision set forth herein or any part thereof is held to be invalid or unenforceable by any court of competent jurisdiction, or otherwise to conflict with applicable law, such provision or part thereof shall be deemed deleted herefrom and this Agreement shall be construed to give effect to the remaining provisions and parts thereof. The failure of either Party at any time to require performance of any provision hereof shall in no manner affect the right of such Party to enforce the same at a later time. No waiver by either Party of a breach of any provision shall be deemed to be, or construed as, a waiver of the breach of any other provision hereof. IN WITNESS WHEREOF, the parties hereto have executed this Agreement effective as of the date first herein above written.

EMPLOYEE MANUAL

By signing your contract to work with 247 Tutoring Pioneers as an hourly part-time Employee, you agree to adhere to the Tutoring expectations and understand your responsibilities as an employee of 247 Tutoring Pioneers. Expectations As an employee of the 247 Tutoring Pioneers, you will be expected to: Be punctual (on time for work). Complete a task as instructed. Be willing to learn. Be respectful toward others. Inappropriate tone or demeanor towards students or other members is not acceptable, and may be grounds for termination of your contract. Be pleasant and businesslike. (First impressions are the most important!) Ask questions. (If you do not understand a task, please ask questions immediately.) Let the student know you will find an answer for his/her question if you weren’t so sure about the subject. Show up for your scheduled sessions. You will be excused for extenuating circumstances, such as (Also see section for compensation): a. Illness. (Please call prior to scheduled hour.) b. Scheduled exam. (Make advance plans to reschedule your work hours.) c. Emergency. (Please call immediately.) Be thorough and accurate. Follow procedures. Leave the tutoring areas neat and orderly. Maintain a neat appearance. (Casual clothing is acceptable; bearing of midriff, low-cut tops, very short shorts or skirts, and torn clothing is not acceptable.) The officers reserve the right to ask you to change your attire, if they feel it is not appropriate. NO! Not leave your belongings at students’ homes. Not use a computer, cellphone or any other electronic devices during a session for personal use. Be ethical, honest, and open minded. Refrain from conducting personal business on the job. Compensation and Penalties Regular Tutor hourly rate of pay for in-own-home services: $15/hr Regular Tutor hourly rate of pay for in-student-location and in-tutor-location sessions: $20/hr High School Test Prep: $25/hr ( also for late cancelled sessions by students) Graduate Test Prep: $30/hr (also for late cancelled sessions by students) Late Regular Tutoring cancelled sessions: $15/hr For any students referred: $50 after the first session For sessions cancelled within 24 hours of the scheduled time of the session by tutor: Penalty with the same rate of pay. For sessions reported later than 10am of the day after when the session took place there is a $5 penalty and $2 penalties will be applied for every late day after that. (Extra driving compensation for driving more than 14 miles will be 22 cents per any miles above 14 one way) Job Duties 1. Know how to use the 247 Tutoring Pioneers website and session reporting system. Be able to check your schedule and appointments online through 247 Tutoring Pioneers website and google calendar. Be able to enter a report after EVERY tutoring session. Session reports are due 10:00am of the day after when session took place (Also see section on Compensation and Penalties). Report a session as late cancel if a session is canceled without a 12 hour notice to tutor or a 24 hour notice to 247 Tutoring Pioneers. (Also see section on Compensation and Penalties) Not to cancel session for non-emergency reasons. 2. What to do when you arrive for your session Arrive early enough to find parking and get into proper attire before walking into the session. If the student is below the age of 18, you should check if they are being accompanied by an adult above the age of 21. If no adult is present, the session will be “Absent at Location”. Write on your attendance sheet the time you begin working. Blank attendance sheets are provided by 247 Tutoring Pioneers. 3. Know the tutoring process You should always be prepared for your tutoring sessions. And remember the first impression is the most important! Here is an example of a good tutoring session Greet student, catch up on past events/tests. Do ask them how they are doing at school in general and about their other classes. Let 247 Tutoring Pioneers if they are struggling with a subject you can’t cover and offer help for all other subjects you can cover. Ask the student to summarize what’s needed, and discuss what will be covered in this session. Most of your session are 1.5 hours long. You should break the time to three, not necessarily equal, periods and use one period to make sure student has grasped the previous concepts, the second period to cover new material and the last period to practice to assure the student has fully grasped the newly covered material. If you feel they need an extra session in order for the learning process to become complete, let the student or his/her guardian know and initiate scheduling. Calculate the length of the session and write it down on your attendance sheet and ask student to sign the designated area of the attendance sheet. Attendance sheets can be handed to an officer of 247 Tutoring Pioneers or submitted online through the tutor login page. Remind your student and/or parent that they will be receiving a session report for the session and do ask them to rate you. 4.Know the reporting process You should login to your account on 247 Tutoring Pioneers website (www.247tutoring.com) and finish the details of the session before 10:00 am of the day after the session. You will be penalized $5 for missing the first deadline. For each deadline after the first, 10:00am of the next day, there will be another $2 penalty. 5. Check your email and Google calendar regularly 247 Tutoring Pioneers main form of communication is through email. As an employee, you will need an email address that you check regularly, and you must respond to notices from the 247 Tutoring Pioneers within 24 hours. For faster communication and a higher chance of getting more students you can enroll in 247 Tutoring Pioneers text messaging system. Payroll 247 Tutoring Pioneers’ employees are paid bi-monthly. There are two pay periods each month, (1) 1st-15th (Payment by 25 of the same month), (2) 16th – end of month (payment by 10th of the month after). Sessions reported online are subject to review and approval by 247 Tutoring Pioneers. Employee will be paid for sessions approved by 247 Tutoring Pioneers and the period of pay for a session is based on approval of the session and not the the time the services were provided by the Employee. Time sheets are usually collected on the last day of the pay period, but not always. The date of payment might change based on the pay date and its simultaneity with another holiday and special days. Employees will be set up direct deposit by filling out the direct deposit authorization form. No checks will be mailed to Employee. Employee will be given a username and a password with which they can login to the payroll website and check the history of their payroll. Employee can request copies of paystubs at any time. Five Steps to Being an Effective Tutor 1. Know what is Expected of You As A Tutor Know your responsibilities and duties as a tutor 2. Be prepared for every tutoring session. The better you are prepared; the better you will be able to tutor. Shape the tutoring environment. Prepare yourself for your client. Prepare any necessary tutoring paperwork/report 3. Meet your client’s needs. Get to know your client’s: Learning style Academic needs 4. Know the Ingredients of a Good Tutor Session The following are some of the necessary ingredients for a good session: Greet your client and give them your undivided attention. Have empathy with your client’s problems. Be honest with your client. Create a realistic agenda Have a sense of humor. Have the ability to “lighten up” a situation. Ask your students about special ongoing events in their lives and shape up the session based on those. Have a good interaction with your student, a good give and take. Know your client’s strengths and weaknesses. Focus on their strengths to build confidence and to overcome their weaknesses. Award your student for improvement. Know when to stop a session. End the session on a positive note and ALWAYS assign sufficient homework for next time. 5. Ending the Tutoring Session Do not just say “good-bye” when the session is over. You should: Positively assess the work that was done during the session. Give assignments if appropriate. Reschedule for another session. Always end the session with a positive comment. Listening, the most important thing you will do! Minimize distractions – tune out other conversations. Be attentive to your student. Make eye contact – this let’s student know you have his/her full attention, and you will be more able to discern their questions. Minimize note-taking – while some note taking is important, excessive note taking is a distraction for listening Ask questions from your student and help them solve the problem themselves. Find a solid ground of their knowledge and build the material on that ground. Always collect your thoughts before you begin explaining – the best explanation is clear and in the fewest words. Use open-ended questions and probing questions – Why? Can you elaborate? Can you clarify what you mean? What property allows us to make this next step? Paraphrase what you hear – before diving into an explanation, paraphrase what you think the student said so your response is as clear as possible. Never assume you know what the student is asking. Always clarify with the student before responding. A student may be struggling with trying to explain what they don’t understand. Paraphrase back in your own words, what you think the student is saying. This will help you and the student to better communicate. Be empathetic – try to look at things from the student’s point of view Use positive body language – staying focused on the student, smiling, not fidgeting while the student is talking. How to write an effective report Your report should include three paragraphs: Old Business: Check on homework and see if they have completed what you or other tutors might have assigned. Ask them if they have taken any tests recently and report their score. Ask them how they are doing in their other classes. If you feel they might need help with a certain subject let us know (also see section for compensation). And write why you are meeting that day and what the agenda is. New Business: What you guys covered during the session. This should be descriptive enough for another tutor to be able to continue what you started. Future Business: End with a positive note. Be sure to assign homework and report what they need to do for next session. (General Comment: Try to use student’s name instead of a general phrase such as “student” or “tutee”.)
